1. Agreement to Terms

By accessing or using MCKS (Master Core Key System), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. These Terms of Service apply to all visitors, users, and others who access or use the Service.

2. Description of Service

MCKS provides a cloud-based software platform for designing, planning, and managing master key systems. Our services include key hierarchy visualization, cylinder tracking, project management, team collaboration, and report generation for locksmiths, contractors, and building owners. The Service is provided "as is" and "as available" without warranties of any kind.

3. User Accounts

When you create an account with us, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Immediately notify us of any unauthorized use of your account
• Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent or illegal activities.

4. Acceptable Use

You agree not to use MCKS to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Service
• Collect or harvest any information from the Service without authorization
• Use the Service for any fraudulent or deceptive purposes
• Reverse engineer, decompile, or attempt to extract the source code of our software

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of MCKS and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. You retain ownership of all data and content you create using our platform.

6. User Content and Data

You retain all rights to the master key system designs, project data, and other content you create using MCKS. By using our Service, you grant us a limited license to:

• Store, backup, and process your data to provide the Service
• Display your content to you and your authorized team members
• Generate reports and exports as requested by you

We do not claim ownership of your content and will not use your project data for purposes other than providing and improving our services.

7. Payment Terms

For paid subscription plans:

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account
• You are responsible for all applicable taxes

8. Limitation of Liability

To the maximum extent permitted by law, MCKS and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service. Our total liability for any claims under these terms shall not exceed the amount you paid us in the twelve months preceding the claim.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. MCKS IS A PLANNING TOOL AND DOES NOT REPLACE PROFESSIONAL LOCKSMITH EXPERTISE. YOU ARE RESPONSIBLE FOR ENSURING YOUR MASTER KEY SYSTEMS ARE PROPERLY IMPLEMENTED BY QUALIFIED PROFESSIONALS.

10. Indemnification

You agree to defend, indemnify, and hold harmless MCKS and its licensors, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right; or (d) any content you create or upload to the Service.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. You may request export of your data before termination. We may retain certain information as required by law or for legitimate business purposes.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Miami-Dade County, Florida.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be notified at least 30 days before taking effect. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.
